Technology M&A in LATAM: Successful Acquisition of a Startup in Ecuador

Case Title

Strategic Expansion in the Andes: A Technology Acquisition in Ecuador

1. Scenario

  • Client Archetype: Spanish Software Company (SaaS).

  • Sector: Technology / B2B Software.

  • Operation Vector: Spain → Ecuador.

2. The Strategic Challenge

A Spanish SaaS company identified a startup in Ecuador with complementary technology that was key to its expansion in the Andean region. It needed to execute a fast, secure cross-border acquisition, handling the technical and legal due diligence, the valuation and the execution of the contract under Ecuadorian law.

3. The META Channel Solution Architecture

An “M&A Express” solution was designed that combined financial execution from Spain with legal execution on the ground in Ecuador. To guarantee the security and speed of the process, a custom Virtual Data Room (VDR) was developed for the transaction.

4. Ecosystem Orchestration: Layers in Action

Layer 2 (Reference Partners) was the dual engine, activating our corporate finance partner in Spain and our legal-technology hub in Ecuador. Layer 5 (Substantive Legal) was executed through the latter to safeguard the operation. Layer 4 (Technological) was the accelerator, developing a custom VDR that gave the client full, real-time control over the due diligence.

5. Strategic Capabilities Deployed

  • Institutional Connection

  • Global Regulatory Strategy

  • Implementation and Technology

    • Mode A: Implementation of Existing Platforms

    • Mode B: Custom Development (Custom Virtual Data Room)

  • Global Law and Comprehensive Legal Advisory Services

6. Key Results

• Acquisition completed in 90 days, 30% faster than the initial forecast.
• Technical and legal due diligence completed friction-free thanks to the VDR.
• Optimized acquisition structure, minimizing tax risk for the Spanish parent company.
• Successful integration of the Ecuadorian startup’s technology and team.
