A European company wanted to enter the competitive Brazilian market, but instead of establishing itself directly its strategy was to create a Joint Venture (JV) with a leading local distributor. The challenge was to negotiate and structure the shareholders’ agreement and the JV agreement so as to protect its interests and its intellectual property.
