Renewables developer and African institutional investor · Renewable energy · Europe and West Africa
The challenge
A European renewables developer and an African institutional investor wanted to form a joint venture to develop solar projects in West Africa. They needed a joint vehicle in a neutral jurisdiction, governance balanced between the parties and regulatory compliance across several African countries.
What we did
- We designed the joint venture structure and chose the jurisdiction for the corporate vehicle.
- With lawyers from our network, we negotiated and finalised the shareholders’ agreement, with balanced governance mechanisms and protection for both parties.
- Drawing on local experts from our network in each target country, we set up the compliance framework for operating in 5 African countries.
- We coordinated the workstreams between Europe and Africa throughout incorporation and start-up.
The outcome
- Joint venture structured and incorporated in 4 months.
- Compliance framework in place for 5 African countries.
- The joint venture’s first project under development 6 months after incorporation.
