Payments fintech · Financial services · Mexico and Europe
The challenge
With significant traction in Mexico, the fintech wanted to raise a Series A from European funds to expand into Europe. Its talks with several funds kept ending the same way: “we like the business, but we don’t understand the structure”. Its Mexican corporate structure simply did not make sense to European investors.
What we did
- We designed a new structure with a holding company in a jurisdiction acceptable to European investors and, with lawyers from our network, put it in place.
- Financial experts from our network prepared IFRS financial statements and the valuation model.
- We built the investment narrative and set up a bespoke data room with the due diligence pre-packaged.
- We introduced the company to European fintech funds with a specific investment thesis for Latin America.
The outcome
- Restructuring completed in 4 months.
- Two funds that had said “we don’t understand the structure” came back to the table.
- €5 million Series A closed with a European fintech fund.
- The new structure enabled the company to enter Spain as its first European market.
