A SaaS scale-up gets its corporate house in order and closes a €3 million Series A round

SaaS software scale-up · Technology / B2B software · Spain and Europe

The challenge

The company, a Spanish SaaS scale-up with €2 million in ARR and more than 200 customers, had gone 18 months without closing its Series A. Its traction was demonstrable, but it was not ready for investors: a chaotic corporate structure, no investor-standard shareholders’ agreement, financial documentation that could not be audited and an unclear investment narrative.

What we did

  • We reorganised the corporate structure with lawyers from our network, who drafted and negotiated a new shareholders’ agreement with standard venture capital clauses (drag-along, tag-along, liquidation preference) and rebuilt the cap table.
  • Together with experts from our network, we prepared auditable financial statements and a valuation model to international standards, and reviewed compliance and corporate governance.
  • We set up a bespoke virtual data room with pre-packaged due diligence and financial reporting tools, so that everything could be traced.
  • We presented the company to venture capital funds aligned with its profile and coordinated the roadshow.

The outcome

  • Structuring completed in 4 months.
  • Pre-packaged due diligence cut investors’ analysis time by 60%.
  • €3 million Series A round closed with a European fund, 45 days after the first meeting.
