A group operating in Africa becomes an investable asset for European capital

Business group · Multi-sector · Africa and Europe

The challenge

The group had established, economically viable operations in Africa and wanted European capital to scale. The investor interest was there; what was missing was a structure that was legally investable by European standards. As things stood, investing in the business would have exposed capital to operational, regulatory and governance risks that institutional investors could not accept.

What we did

  • We designed a cross-border investment structure separating operations, ownership and economic rights, so that local operational risk was ring-fenced.
  • Working with lawyers from our network, we gave the structure a legal form built on control, traceability and scalability; partners in our network then validated it against institutional eligibility criteria.
  • We built bespoke traceability and document control systems.
  • We opened the way to advanced-stage discussions with European institutional capital.

The outcome

  • An asset that was operationally attractive but not investable became legally eligible for European investment.
  • Local operational risk ring-fenced from European capital.
  • Advanced-stage discussions with European institutional capital, on a stable and defensible footing.
  • A structure the group can reuse for future cross-border investment.
