The mission
Design and execute the complete legal architecture for regulated tokenisations of real-world assets (real estate, energy, IP, debt) under the MiCA or MiFID II/DLT Pilot Regime framework, as applicable. Your role is to ensure that each issuance is legally sound to institutional standards from day one.
Strategic responsibilities
- Legally structure RWA issuances: design of the issuing vehicle, prospectus, regulated whitepaper, KYC/AML framework.
- Determine the precise regulatory classification of each asset (MiCA vs. MiFID II/Pilot Regime).
- Coordinate with the CNMV, the Bank of Spain and equivalent European authorities.
- Design on-chain governance with full legal validity.
- Lead the legal structuring pipeline of TokenLab™.
Required profile: who you are
- You are a senior lawyer specialising in capital markets, MiCA or tokenised securities law.
- You have registered or advised digital asset issuers before European authorities.
- You are proficient in smart contracts from a legal perspective, DLT, and crypto-asset regulation.
- You have closed structuring deals of €50M+ in tokenised or financial assets.
- You speak the language of regulators, institutional investors, and technical teams.
